These Terms of Service ("Terms") constitute a legally binding agreement between North Coast Supply Co. ("NCS," "we," "us," or "our") and the user ("you," "customer") concerning your access to and use of the North Coast Supply website and all related services. By accessing or using our services, you agree that you have read, understood, and agree to be bound by all of these Terms.

I. Acceptance of Terms (The Contract)

Your use of the site signifies your unqualified acceptance of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the site and must discontinue use immediately. NCS reserves the right, in its sole discretion, to make changes or modifications to these Terms at any time.

II. Intellectual Property Rights (NCS Ownership)

All content, including but not limited to, designs, text, graphics, logos, images, software, and all trademarks, service marks, and trade names used on the site (including "North Coast Supply Co.," "NCS," "Built For The North," and the Geometric Bear Icon) are proprietary to NCS or our licensors. These materials are protected by intellectual property laws.

  • You are granted a limited license to access and use the site for personal, non-commercial purposes only.

  • You are expressly forbidden from reproducing, republishing, selling, licensing, or otherwise exploiting any content, design, or intellectual property of NCS without our express prior written permission.

III. User Representations and Prohibited Conduct (Your Obligations)

By using the site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will not use the site for any illegal or unauthorized purpose; and (3) you will not violate any applicable local, state, national, or international law.

Prohibited Conduct includes, but is not limited to: attempting to gain unauthorized access to the site's servers, interfering with the security of the site, or using any automated system to extract data.

IV. Products and Order Processing

  1. Product Accuracy: We strive to display product colors and images as accurately as possible. However, we cannot guarantee that your device’s display of any color will be accurate.

  2. Pricing: All pricing is subject to change without notice. In the event of an error in pricing or product description, we reserve the right to refuse or cancel any orders placed for that product.

  3. Inventory: We reserve the right to limit the quantities of any products or services that we offer. All descriptions and pricing are subject to discontinuation at any time, at our sole discretion.

V. Disclaimers and Warranty Limitation

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. NCS MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR PERFORMANCE OF THE SITE OR THE FITNESS OF PRODUCTS FOR ANY PARTICULAR PURPOSE.

  • Implied Warranty Disclaimer: NCS expressly disclaims all warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

  • Liability Limitation: In no event shall NCS be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the site or any purchased products.

VI. Indemnification

You agree to defend, indemnify, and hold NCS harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the site; (2) breach of these Terms; or (3) your violation of the rights of a third party.

VII. Governing Law and Dispute Resolution (The Final Authority)

Governing Law: These Terms shall be governed by and construed in accordance with the laws of The State of Michigan, without regard to its conflict of law principles.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be settled by binding arbitration in East Tawas, Michigan. The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and NCS waive any right to participate in a class-action lawsuit or class-wide arbitration.

VIII. Term and Termination

These Terms shall remain in full force and effect while you use the site. We reserve the right to deny access to and use of the site (and terminate this agreement) to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.
